PLEASE READ THESE TERMS OF USE ("TERMS") CAREFULLY. BY CREATING AN ACCOUNT, OR BY ACCESSING OR USING THE ASTUTE SIGNALS APPLICATION, WEBSITE, OR ANY RELATED SERVICES (COLLECTIVELY, THE "SERVICES"), YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE.
These Terms constitute a legally binding agreement between you ("you" or "user") and Unify Health Inc. ("we," "us," or "our") governing your use of the Services. If you do not agree to these Terms, you may not use the Services.
You also acknowledge that you have read and understood our Privacy Policy, which is incorporated by reference into these Terms.
1. Description of the Service
Astute Signals is an intelligent wellness service designed to provide professionals with private, data-driven insights into their well-being by analyzing vocal and video data from virtual meetings they attend. Our AI companion confidentially generates a personal report on your secure dashboard to help you identify stress triggers and build greater self-awareness.
2. IMPORTANT MEDICAL DISCLAIMER
Astute Signals is an informational tool only. It is not a medical device and does not provide medical advice, diagnosis, or treatment. The insights and data generated by the Service are not intended to be a substitute for professional medical advice, diagnosis, or treatment from a qualified healthcare provider. Never disregard professional medical advice or delay in seeking it because of something you have read or seen on the Service. If you have a medical emergency, call your doctor or emergency services immediately.
3. Eligibility and User Accounts
You must be at least 18 years old to use the Services. By agreeing to these Terms, you represent and warrant that you are of legal age to form a binding contract.
When you create an account, you agree to:

Maintain the security of your password and accept all risks of unauthorized access to your account.
Promptly notify us if you discover or suspect any security breaches related to the Services.
4. Grant of License

Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Services.
Use the Services in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Services.
Scrape, collect, or harvest data from our Services, except as expressly permitted by the functionality of the Service for your own personal data.
Use the Services to build a competitive product or service.
Attempt to circumvent any content-filtering techniques we employ or attempt to access any service or area of the Services that you are not authorized to access.
Use the Services for any purpose other than their intended purpose.
6. User Data and Confidentiality
You retain full ownership of the underlying data from your meetings that you submit for analysis ("User Data"). However, by using the Service, you grant Unify Health Inc. a worldwide, non-exclusive, royalty-free license to process, analyze, and store your User Data solely for the purpose of generating your private wellness reports and providing the Services to you, as further described in our Privacy Policy.
We treat your User Data and the resulting wellness reports as strictly confidential information. We will not share your personal reports with anyone, including your employer or other meeting participants, except as outlined in our Privacy Policy.
7. Our Intellectual Property
Excluding your User Data, all elements of the Services, including the Astute Signals name, logo, AI models, software, text, graphics, and other content ("Our Content"), are owned by Unify Health Inc. or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use, copy, reproduce, or distribute any of Our Content without our prior written permission.
8. Third-Party Services
The Services are designed to integrate with third-party platforms like Zoom. Your use of such third-party services is subject to their own terms and privacy policies. We are not responsible or liable for the actions, content, or data practices of any third-party services.
9. Fees and Subscriptions
Certain features of the Services may require payment of fees. By selecting a paid subscription plan, you agree to pay all applicable fees as described on our website or app. All fees are non-refundable except as required by law. We reserve the right to change our prices and will notify you in advance of any fee changes.
10. Termination
You may terminate these Terms at any time by deleting your account through the account settings.
We reserve the right to suspend or terminate your access to the Services, at our sole discretion, without notice or liability, if you breach these Terms.
Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that, by their nature, should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Disclaimers of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, UNIFY HEALTH INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNIFY HEALTH INC. OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SERVICES.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF UNIFY HEALTH INC. EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to defend, indemnify, and hold harmless Unify Health Inc. and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; or (iii) your violation of any law or the rights of a third party.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law principles.
Any dispute arising from these Terms or the Services shall be resolved through binding arbitration conducted in [Your City, State/Country], rather than in court, except that you may assert claims in small claims court if your claims qualify.
